Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of the services operated by Statotech Systems ("Statotech", "we", "us"), including accounts.statotec.com and the products connected to it — such as ZimRate, AfriRate, MenuWise, Shop POS, School ERP, Health, ToraShaout, and Requirements Collector, among others as they become available (collectively, the "Services").

By creating a Statotech account or using any of the Services, you confirm that you accept these Terms and agree to be bound by them. If you do not agree, do not create an account or use the Services.

2. Your account

A single Statotech account (your “Statotech ID”) is used to sign in across all Statotech products. You are responsible for keeping your login credentials secure and for all activity that occurs under your account.

You agree to provide accurate information when registering and to keep it up to date. You must have the legal capacity to enter into these Terms in your jurisdiction. Statotech is not liable for any loss resulting from unauthorized access to your account caused by your failure to safeguard your credentials.

3. Organizations and subscriptions

Access to each Statotech product requires an active subscription. Subscriptions are held per organization and are managed through your account dashboard. Some products offer a free plan; others require a paid subscription to access some or all features.

You are responsible for the activity of users you add to your organization and for ensuring their use complies with these Terms.

4. Fees and billing

Paid subscriptions are billed in advance for each billing period. The price, currency, and billing period applicable to your subscription are shown at checkout, and the amount displayed at checkout is the authoritative price for that transaction.

We accept payment by card (processed by Stripe) and by EcoCash and other methods supported by Paynow. You authorize us and our payment processors to charge your selected payment method for the fees due. Prices are exclusive of any taxes or levies that may apply, which are your responsibility unless stated otherwise. We may change our prices, and will give reasonable notice of changes affecting your existing subscription before they take effect.

5. Automatic renewal

Card subscriptions renew automatically at the end of each billing period, and your payment method will be charged for the next period, until you cancel. Subscriptions paid through Paynow are charged per period; we send a reminder before the period ends so you can renew, and access ends if the subscription is not renewed.

You can cancel automatic renewal at any time from your account dashboard. Cancelling stops future charges; it does not retroactively charge or refund the current period.

6. Refunds and cancellation

You may cancel your subscription at any time from your account settings. When you cancel, your subscription remains active until the end of the period you have already paid for, after which it will not renew.

Except where a refund is required by applicable law, fees already paid are non-refundable. We may, at our sole discretion, issue a refund or credit in individual cases. To request consideration of a refund, contact us at the address below.

7. Acceptable use

You agree to use the Services lawfully and not to misuse them. In particular, you agree not to:

• use the Services for any unlawful, fraudulent, or harmful purpose;
• attempt to gain unauthorized access to any account, system, or data, or interfere with the operation of the Services;
• copy, resell, sublicense, or commercially exploit the Services except as expressly permitted;
• reverse engineer, decompile, or attempt to extract the source code of the Services, except to the extent permitted by law;
• upload malware or content that infringes the rights of others or violates any law.

8. Intellectual property

The Services, including all software, designs, text, and trademarks, are owned by Statotech or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms.

Any data and content you submit to the Services remains yours. You grant us the limited rights needed to host, process, and display that content for the purpose of providing the Services to you.

9. Availability and changes to the Services

We work to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. We may add, change, suspend, or discontinue features from time to time. Where a change materially reduces a paid feature you rely on, we will make reasonable efforts to notify you in advance.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, Statotech will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the amount you paid to us for the Services in the twelve (12) months immediately before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

12. Termination

We may suspend or terminate your access to the Services if you breach these Terms or use the Services in a way that may cause harm or legal liability. You may delete your account at any time from your settings; deleting your account removes your identity data and cancels active subscriptions, and may also remove associated data in connected products.

13. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date below and, for material changes, take reasonable steps to notify you. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the Republic of Zimbabwe, without regard to its conflict-of-laws rules. You agree that the courts of Zimbabwe will have jurisdiction over any dispute arising out of or relating to these Terms or the Services.
